1. Agreement to Terms

By accessing the website at www.elcedar.com or engaging El Cedar for technology consulting, AI integration, custom software, e-commerce development, website development, or digital marketing services, you agree to be bound by these Terms & Conditions.

2. Scope of Services

El Cedar provides professional digital transformation and software engineering services. Specific deliverables, technical milestones, delivery timelines, and service fees are detailed in individual project proposals, Statements of Work (SOW), or service agreements mutually approved by the parties.

3. Intellectual Property Rights & Code Ownership

Unless otherwise stipulated in a specific SOW:

• Client Ownership: Upon receipt of full and final payment, the client retains full ownership of all bespoke source code, custom database schemas, graphics, and written content developed specifically for the client project.
• Pre-Existing & Open-Source Materials: Standard open-source libraries, frameworks, and pre-existing reusable utilities remain subject to their respective open-source licenses.

4. Client Responsibilities

Timely delivery of services depends on cooperative engagement. Clients agree to provide necessary assets, account accesses, feedback, and approvals in a timely manner to adhere to agreed project schedules.

5. Invoicing & Payment Terms

Payments are scheduled across project milestones (e.g. commencement deposit, design approval, alpha/beta deployment, and final handover) as designated in the project proposal. Invoices are payable within the terms stated thereon.

6. Warranties & Post-Launch Support

We warrant that all deliverables will perform substantially in accordance with the approved project specifications. We provide a complimentary post-launch warranty period (typically 30 days) to resolve any reproducible software bugs or defects. Extended maintenance and monitoring retainers are available upon request.

7. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages (including loss of revenue or business interruption) arising out of or in connection with the services.
